Chapter 1: General Provisions and Introduction
1.1 Welcome and Agreement
Welcome to GlobeTrade, the international trade exchange support network. By using the platform, you agree to be fully bound by these terms. If you do not agree to any of these terms, please do not use the network.

1.2 Definitions

  • Platform: Globtrade website or application.
  • Service Provider (we): Globtrade Limited.
  • User (you): Any person or entity using the platform, whether an exporter or importer.
  • Exporter: A user who registers to view importer data and offers and to communicate with them.
  • Importer: A user who posts purchase offers with the aim of importing products or services.
  • Raw Data: Contact information for importing companies (may include name, email, phone number, and business activity).
  • Analyzed Data: The platform’s information product, which is raw data that has been processed, refined, classified, and statistically analyzed. It is the result of significant technical and material effort and investment, and is considered an independent intellectual work protected by intellectual property rights. Content: Any text, images, or files uploaded to the platform by users.
  • Purchase Offer: An expression of interest posted by the importer on the platform, which is a non-binding offer.

1.3 Important
The platform provides market monitoring and analysis services based on publicly available indicators and trading signals. The platform does not represent purchasing companies and does not guarantee the signing of contracts. The responsibility for negotiating and verifying the commercial and financial terms rests entirely with the subscriber (supplier) and the purchasing company, without any legal liability on the part of the platform.

Chapter Two: Platform Role and Limits of Primary Responsibility
2.1 Nature of Service
GlobeTrade’s role is limited to providing a network for international trade and showcasing business opportunities (such as importer data and purchase offers). We are not a party to any agreement, contract, payment, or shipping transaction between users.

2.2 Disclaimer

We are not responsible for:

  • Agreements or disputes arising between importers and exporters.
  • The accuracy, completeness, or outcome of correspondence or negotiations between the parties.
  • Profits, sales, or contracts resulting from the use of the platform.
  • User reliance on inaccurate data.
  • Any material or moral losses resulting from platform downtime due to maintenance or force majeure beyond our control.

2.3 User Responsibility

  • Each party bears full responsibility for dealing with the other party, including signing contracts, making payments, and shipping.
  • Each party is responsible for ensuring they have sufficient safeguards and guarantees before finalizing any business transaction.

    2.4 Confidentiality between parties
    All information exchanged between the importer and exporter via the platform (correspondence, negotiations, price quotations) is considered confidential between them only, and users are prohibited from disclosing it to any third party.

 

Chapter Three: Data Use Terms and Intellectual Property
3.1 Nature of the Data Provided

  • Raw Data: Importer data is collected from publicly available primary sources, such as official company websites, commercial registers, and government publications. The data is provided for promotional and marketing purposes only.
  • Derived Data: The raw data undergoes exclusive processing, refinement, classification, and analysis by the platform to create “Derived Data,” which represents the true value of the service and an independent intellectual effort protected by intellectual property rights (including database rights).

3.2 User (Source) Obligations Regarding Data
By using the platform (as a source), you agree that you:

  • Will not use the data for illegal purposes (forgery, harassment, fraud).
  • Will not resell the data, copy the database, or share it with competitors. You are purchasing personal access for internal use within your company only.
  • Will comply with the anti-spam laws of your country and the importer’s country.
  • Will not reproduce, distribute, rent, or use the derived data to create a competing database.

3.3 Intellectual Property

  • Platform Ownership: All intellectual property rights to the platform (code, design, trademark, analyzed data) are the exclusive property of GlobeTrade.
  • User Data Ownership: You retain ownership of the files you upload (catalogs), but you grant us the right to use them for display on the platform for the purpose of operating the service.
  • Government Tenders Data: Published data on government tenders is the exclusive property of the issuing government entities, and the platform does not claim ownership of it.

3.4 Reference to LinkedIn

  • LinkedIn® is a registered trademark of LinkedIn Corporation. Any reference to it on our platform is solely for informational purposes and does not imply any affiliation with or endorsement by LinkedIn Corporation.
  • The platform provides hyperlinks to LinkedIn member pages, if available, as an additional identity verification service. We do not collect or store any data from LinkedIn, and the platform is not responsible for the content of these external pages.

Chapter Four: Terms of Use for Importers (Publishers of Offers)
4.1 General Obligations of the Importer

  • Accurate Data: The importer is obligated to provide complete and accurate data (commercial registration, address, etc.) that the platform may request to verify before publication.
  • Seriousness and Good Faith: The importer is obligated to publish purchase offers in good faith and with a genuine intention to purchase. Publishing fictitious offers or offers intended to collect price quotes for non-serious research purposes is prohibited.
  • Clarity: The purchase offer must include an accurate description of the product, quantity, technical specifications, basic trade terms (FOB, CIF), and delivery timeframe.

4.2 Conditions Specific to the Importer’s Handling of Exporters’ Offers
When exporters submit price quotes in response to an importer’s request, the importer is obligated to:

  • Non-Disclosure: Not to disclose the content of exporters’ offers (especially prices and specifications) to any third party, particularly competitors.
  • Non-Exploitation: Not to use the information contained in the offers for any purpose other than evaluating it for purchase.
  • Fair Treatment: To treat all offers with complete confidentiality and not to use an offer to the advantage of another exporter.
  • Response: Commitment to responding to exporters’ inquiries and informing them of the final decision within a reasonable timeframe.

4.3 Importer Violations
Misleading information in purchase offers or publishing unserious offers will subject the importer to immediate removal from the company, a ban, and prosecution on charges of forgery in an official commercial offer.

 

Chapter Five: Code of Conduct and Violations
5.1 General Conduct

  • Mediation: Mediation is strictly prohibited within the platform.
  • Professional Communication: Users are obligated to communicate professionally and in accordance with the law.
  • Prohibited Products: It is prohibited to publish, request, or offer any products or services that violate the laws of the country of origin or destination, violate public morals, or infringe upon the intellectual property rights of others (such as counterfeit products).
  • Anti-Monopoly: It is prohibited to use the platform to coordinate with competitors to fix prices, divide markets, or disrupt fair competition.

5.2 Complaints and Violations Handling Mechanism

  • In the event of a complaint from an importer or exporter against another party, a warning will be issued, followed by immediate deletion if the violation is repeated.
  • The platform reserves the right to reject, modify, or delete any content (purchase offers or otherwise) that violates the terms and conditions without providing reasons.
  • In the event of a serious violation (such as data resale or fraud), the platform has the right to immediately suspend or ban the account without refunding any fees and to report the violation to the competent authorities.

Chapter Six: Financial Services and Fees
6.1 Fees and Subscriptions

  • Some services are free, while others are paid (monthly/annual subscription).
  • The platform may charge posting fees or transaction commissions (if applicable), which will be clearly stated before completion.
  • You are responsible for the accuracy of your payment information.

6.2 Refund Policy
Subscription fees are non-refundable except in cases where the service is proven to be completely unavailable due to a technical malfunction on our end, and not due to the user’s failure to generate profits or sales.

6.3 Maximum Financial Liability
In all cases, our maximum financial liability to any user shall not exceed the total amount paid to us in the past six months.

Chapter Seven: Privacy Policy and Data Protection

7.1 Data We Collect

  • User (Exporter) Data: Name, email address, payment details, and platform interaction logs (to improve the service).
  • Importer Data: Contact information voluntarily published by their companies in public sources.
  • Government Tenders Data: Public tender information collected from official sources.

7.2 How We Use Data

  • For Contractual Purposes: We process your data (as a source) to fulfill your subscription and provide you with the service.
  • For Development: Information about how you interact with the data may be used to develop analytical algorithms.
  • For Communication: When an importer posts an offer or an exporter responds, contact information becomes visible to the other party solely for the purpose of completing negotiations.
  • For Legitimate Interests: We process importer data collected from public sources based on a “legitimate interest” in providing trade brokerage services.

7.3 Data Sharing and Disclosure

  • We do not share your email address or contact information with other parties (except those interested in your business on the platform).
  • The platform may record and store communications conducted through its communication tools for documentation and service improvement purposes.
  • We are committed to cooperating with the relevant judicial or regulatory authorities upon request by providing any available electronic records.

7.4 External Links (LinkedIn and Tenders)
The platform may contain links to external websites (such as LinkedIn or government tender portals). We do not control these websites, and your use of them is subject to their respective terms and privacy policies. You are solely responsible for any damages arising from their use.

 

Chapter Eight: Special Conditions for Government Tenders
8.1 Nature of Data
Information related to government tenders is for informational purposes only (announcements, dates, contact information). This excludes the content of bids submitted by competitors and any data of a trade-confidential nature.

8.2 Platform Role
The platform does not handle registration or document uploading on behalf of the user. Its role ends with providing the link to the official platform. Any data submitted on government websites is subject to their respective privacy policies.

8.3 User Obligations

  • The user is obligated to verify the accuracy of data from official sources before relying on it.
  • The user is obligated to comply with any additional terms or restrictions imposed by the government entity.
  • The platform encourages users to report any misuse of tender data.

Chapter Nine: Final Provisions
9.1 Termination of Service
We reserve the right to immediately suspend or block your account if you are found to have violated these Terms, without any refund fees.

9.2 Applicable Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute shall be resolved in the courts of the UAE.

9.3 The Platform may temporarily suspend accounts in cases of suspected fraudulent activity or unauthorized use of the Service until verification procedures are completed.

9.4 Users agree not to use the Platform for any transactions that violate international sanctions laws or anti-money laundering or counter-terrorism financing laws.

9.5 The Platform reserves the right to modify these Terms at any time. Users will be notified of updates via the website or email. Continued use of the Platform constitutes acceptance of the modifications.
